1. Acceptance of Terms

By accessing and using the services provided by EJM Dynamic Technologies ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our services.

These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Services

EJM Dynamic Technologies provides technology consulting, software development, systems integration, and related professional services ("Services"). The specific scope of Services will be defined in individual service agreements or statements of work.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. User Accounts

When you create an account with us through our Client Portal, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of EJM Dynamic Technologies and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of EJM Dynamic Technologies.

Any intellectual property developed specifically for a client under a service agreement shall be governed by the terms of that specific agreement.

5. Prohibited Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

6. Service Level and Warranties

While we strive to provide high-quality services, we make no warranties or representations about the accuracy or completeness of the Services' content or the content of any sites linked to our Services.

Specific service level agreements (SLAs) and warranties will be detailed in individual service contracts. In the absence of a specific agreement, our Services are provided "as is" without warranty of any kind.

7. Limitation of Liability

In no event shall EJM Dynamic Technologies, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our liability for any claims arising out of or related to these Terms or our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless EJM Dynamic Technologies and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Service.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Boston, Massachusetts.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
